Unique Communications – CAIRS Software License Agreement

END-USER LICENSE AGREEMENT FOR UNIQUE COMMUNICATIONS SOFTWARE:

This End-user License Agreement (“EULA”) is a legal agreement between the Keesler AFB and Unique Communications Solutions for the Unique Communications CAIRS ALIson.

PURCHASER AGREES TO BE BOUND BY THE TERMS OF THIS EULA INSTALLING, COPYING, OR USING THE SOFTWARE.  IF THE PURCHASER DOES NOT AGREE, DO NOT INSTALL, COPY, OR USE THE SOFTWARE.

1.GRANT OF LICENSE. Unique Communications grants purchaser the following rights provided that purchaser complies with all terms and conditions of the EULA.

1.1 Installation and use. Purchaser may install and use a copy of the software on the number of PC/Servers within the Enterprise represented in the purchasing process.  Purchaser may install and use a copy of the Software on the number of Voice Switching Systems within the Enterprise determined prior to the licensing of this software.  Installation and use quantity is determined by user and voice switch licenses purchased.

1.2 Alternative Rights for Storage/Network Use.  As an alternative to Section 1.1, purchaser may install a copy of the Software on a network storage device, such as a server computer, and allows that a quantity of devices with valid licenses access the network storage device, such as a computer, to access and use that licensed copy of the software over a private network. Purchaser must obtain a license to the Software for each additional user and or device (Switch, PBX and Server).

1.3 License Grant for Documentation. The documentation that accompanies the Software is licensed for internal, non-commercial reference purposes only.

1.4 License Grant for Reports, Scripts, and Templates. The Software may include custom developed reports scripts, and templates.  Purchaser may copy and modify the scripts, reports, and templates available as part of the Unique Communications software that accompanies this EULA and distribute such templates along with your modifications for use by other users within your Enterprise.  Purchaser is not licensed to do any of the following:

1.4.1 Purchaser may not sell, resell, license, rent, lease, lend or otherwise transfer the value, the script, reports, or templates.

1.4.2 Purchaser must indemnify and defend Unique Communications against any claims or lawsuits, including attorneys’ fees, which arise from or result from the licensing or distribution of the reports and templates as modified by you, the purchaser.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

2.1 Mandatory Activation. THERE ARE TECHNOLOGICAL MEASURES IN THIS SOFTWARE THAT ARE DESIGNED TO PREVENT UNLICENSED USE OF THE SOFTWARE. Purchaser will not be able to exercise rights to the Software under this EULA until a certified Unique Communications Software Representative activates your copy of the software.  Purchaser may also need to reactivate the Software if purchaser modifies your computer hardware or alters the Software.  If purchaser is not using a licensed copy of the Software, purchaser is not allowed to install the Software or future Software updates.

3. RESERVATION OF RIGHTS AND OWNERSHIP. Unique Communications reserves all right not expressly granted to purchaser in the EULA. The Software is protested by copyright and other intellectual property laws and treaties.  Unique Communications own the title, copyright, and other intellectual property rights in the Software.  The Software I license, not sold. This EULA does not grand purchaser any right to trademarks or service marks of Unique Communications.

4. LIMITATIONS ON REVERSE ENGINEERING, DECOMPLICATION, AND DISASSEMBLY.  Purchaser may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

5. NO RENTAL/COMMERCIAL HOSTING. Purchaser may not rent, lease, lend or provide commercial hosting services with the Software. 

6. CONSENT TO USE OF DATA.  Purchaser agrees that Unique Communications its affiliates may collect and use technical information gathered as part of the product support services provided to you, if any, related to the Software. Unique Communications may use this information solely to improve our products or to provide customized services or technologies to purchaser and will not disclose this information in a form that personally identifies you.

7. ADDITIONAL SOFTWARE/SERVICES. This EULA applies to updates, supplements, add-on components, or Internet-based services components, of the Software that Unique Communications may provide to purchaser or make available to purchaser after the date purchaser obtains its initial copy of the Software, unless they are accompanied by separate terms.  Unique Communications reserves the right to discontinue Internet-based services provided to purchaser or made available to purchaser through the use of the Software.

8. UPGRADES. To use Software identified as an upgrade, purchaser must first be licensed for the software identified by Unique Communications as eligible for the upgrade.  After installing the upgrade, purchaser may no longer use the original software that formed the basis for your upgrade eligibility, except as part of the upgraded software.

9. NOT FOR RESALE SOFTWARE. Software identified as “Not for Resale” or “NFR”, may not be sold or otherwise transferred for value, or used for any purpose other that demonstration, test or evaluation.

10. SEPARATION OF COMPONENTS. The Software is licensed as a single product.  Its component parts may not be separated for use outside of the restraints of the original purchase order. 

11. SOFTWARE TRANSFER. Internal. Purchase may transfer copy of the Software to a secondary enterprise location. After the transfer, purchaser must completely remove the Software from the original enterprise location. The software must be under a current warranty agreement with Unique Communications in order to transfer the Software to a new user.  Software Transfers require a commitment of both organic and financial resources from purchaser.  Unique Communications can provide certified user training to assist in making operational the software and the new enterprise site or new voice switching system.  Alternately, Unique Communications may provide services to purchaser under then-current fee structure.

12. TERMINATION. Without prejudice to any other rights, Unique Communications may terminate this EULA if purchaser fails to comply with the terms and conditions of the EULA.  In such event, purchaser must destroy all copies of the Software and all of its component parts.

13. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIQUE COMMUNICATIONS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE, AND RELATED CONTENT THROUGH THE SOFTWARE OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THE EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), MISREPRESENTATION, STRICT LIABILITY, BREACH CONTRACT OR BREACH OR BREACH OF WARRANTY OF UNIQUE COMMUNICATIONS AND EVEN IF UNIQUE COMMUNICATIONS OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
